Company Registration Process In Bangladesh

Company Registration is for large business firms in Bangladesh. Basically, the company has two types: 1) Private limited company. 2) Public limited company. A private limited company has at least 2 (two) Directors or Shareholders and the highest 50 (Fifty) Directors or Shareholders into the company. A public limited company has to a minimum of 7 (seven) and the highest unlimited Shareholders / Directors limited by shares. There are three kinds of Private limited companies existing in the country such as local company, Foreign Company (100% share owned by foreign citizen), Joint Venture Company (Foreign and Bangladeshi investment) and Local company (100% Bangladeshi investment). Company registration is followed by Company Act, 1994.

Three Types of Companies

Private Limited Company

A private limited company in Bangladesh is a separate legal entity and shareholders are not liable for the company’s debts beyond the amount of share capital they have contributed. According to the Companies Act 1994, any person (foreign or local) above the age of 18 can register a company in Bangladesh.

Public Limited Company

As per the companies act 1994, A Public Limited Company is a Company that can be formed by at least seven persons as members and the membership is open to the public. A Public Limited Company is also listed on the stock market and essentially needs to be more open and public about its details than a private company.

Joint Venture Company

A joint venture (JV) is a business arrangement in which two or more parties agree to pool their resources for the purpose of accomplishing a specific task. They are a partnership in the colloquial sense of the word but can take on any legal structure. Bangladeshi being one of the most preferred investment destinations has seen an influx of foreign investments in recent years. Except for some areas, Bangladesh’s Foreign Direct Investment ( "FDI") Policy allows 100% FDI for setting up Companies.
